These User Services Terms (hereinafter referred to as “These Terms”) are a global, unified, official service agreement for the LaylPlayer video playback software (hereinafter referred to as “This Software” or “Our”) that applies uniformly to users in all countries and regions around the world. They are formulated in full accordance with the International Internet Services General Compliance Code and do not apply to any regional, exclusive jurisdictions. By downloading, installing, registering, logging in, and using all video playback and feature services of this Software, users represent that they have fully read, fully understood, and voluntarily and unconditionally accepted the full content of these Terms, and a service partnership between the two parties is officially established. 1. Service Definition and Agreement Effectiveness
1.1 Service scope definition
1.1.1 LaylPlayer is a comprehensive video playback tool software for global users. Its core services include basic features such as local video decoding playback, multi-format video compatibility, background playback, image quality optimization, playback record management, personalized playback settings, and all additional value-added services for subsequent iterative launches.
1.1.2 These Terms cover all terminal versions of this Software, including all officially released application channels for mobile, desktop, tablet devices, etc., and all terminal usage behaviors are uniformly governed by these Terms.
1.2 Legal Effectiveness of the Agreement
1.2.1 These Terms are the only valid legal agreement between the User and us regarding the use of the Software Services, replacing all previous verbal, written communication agreements and informal agreements between the two parties, and are fully legally binding.
1.2.2 Any user who launches and uses any feature of the Software is considered to have entered into a voluntary agreement; if the user does not agree to any of the contents of these terms, the user must immediately uninstall the Software, terminate all usage of the services, and do not have the right to continue to enjoy any of the services provided by the Software.
2. User Account Registration and Usage Responsibility
2.1 Account Registration Rules
2.1.1 Users can voluntarily complete account registration on their own. During the registration process, they must ensure that the submitted account identification, verification information, and other information are authentic, valid, and complete. It is prohibited to forge, misuse, or tamper with other people‘s identity information for account registration.
2.1.2 This Software does not enforce limiting the region in which users are registered. Users in any global compliant region may voluntarily register for use, but users must confirm for themselves that the laws and regulations of their region permit the use of this type of video playback service.
2.2 Division of Accounts‘ Usage Rights and Responsibilities
2.2.1 Users bear full and independent responsibility for all log-in behaviors, operating behaviors, and service usage records of their personal registered accounts. They should properly guard the password of their accounts, login devices, and related permissions to prevent accounts from being stolen, leaked, or misused.
2.2.2 Users are prohibited from transferring, renting, selling, and sharing accounts. All consequences of account anomalies, loss of rights and interests, and violations arising from user-initiated authorization, improper storage, and private sharing of accounts will be borne by the user alone, and we will not bear any collateral responsibility.
2.2.3 If users discover that their account has been logged in unusually, has been hijacked, or has been operated unusually, they must immediately change their password, freeze their account, and contact us through our official email address for assistance.
3. Code of Conduct for Compliant Software Use
3.1 General Compliance Obligations
3.1.1 During the use of this Software, Users are required to strictly comply with the International Common Web Code of Conduct, global procedures and local Internet compliance regulations, and legally and compliantly use video playback and accompanying features.
3.1.2 Video content that users voluntarily play, upload, and browse must ensure that the content is legal and compliant, and must not be accessed, transmitted, stored, or shared through this Software for violent, pornographic, terrorist, discriminatory, infringing, and illegal analogue video content.
3.2 Strictly Prohibited Behaviors
3.2.1 The Software is prohibited from performing reverse-compilation, reverse-assembly, decompilation tampering, secondary encapsulation, reverse development, etc., sabotage of the Software‘s execution logic, bypass of functional rights, and infringement of paid rights.
3.2.2 The Software is prohibited from being used for malicious distribution, commercial marketing, illegal profitmaking, cyberattacks, data capture, batch swipes, and other illegal operations, and is prohibited from interfering with the normal service order of the Software and affecting the user experience of other users.
3.2.3 The Software is prohibited from distributing pirated and pirated video resources, unauthorized video and television content, and all third-party content that the user uploads voluntarily, for which the user is solely responsible for copyright.
4. Intellectual Property Attribution and Protection Rules
4.1 Our Intellectual Property Scope
4.1.1 All software and hardware resources of this Software, including all source code, decoding algorithms, program architecture, interface design, trademark identification, icon text, functional logic, and official documentation, are our exclusive property and are protected by the International Intellectual Property Convention.
4.1.2 Intellectual property rights after all functional iterations, version updates, and technical optimizations of the Software belong to us and are not shared by any third parties.
4.2 Intellectual Property Use Limits
4.2.1 Users are granted only the personal, non-commercial, and limited use of this Software, with no right to copy, retranslate, alter, commercialize, sell, redistribute, or develop derivative resources of the Software.
4.2.2 No user, entity, or group may use this Software and related technical resources for commercial purposes, build third-party services, or publicly distribute them without our formal written authorization.
4.2.3 Users retain the rights and interests of personal data such as playback records and personalized configurations that they voluntarily store within the Software, but they authorize us to use non-commercial compliance scenarios for the optimization of the Software‘s functionality and the operation of services.
5. Rules for Running, Changing and Interrupting Services
5.1 Description of Service Availability
5.1.1 We will continue to ensure the stable operation of this Software-based playback service, and commit to providing a smooth and stable video playback experience to users worldwide, but we do not promise that the service will be absolutely faultless, uninterrupted, or latency-free.
5.1.2 We are not liable for temporary service freezes, pauses, or interruptions due to server maintenance, system upgrades, vulnerability fixes, network fluctuations, device compatibility anomalies, irresistible forces, and other factors.
5.2 Service Adjustment and Change Mechanisms
5.2.1 We reserve the right to autonomously add, remove, and adjust software features, interface displays, and service models based on product iteration, technical upgrades, and compliance optimization needs.
5.2.2 For major service adjustments, feature downloads, and entitlement changes, we will announce them in advance through in-software notices, and users continuing to use the Service after the announcement will be considered to have approved the changes.
5.2.3 We have the right to perform redundant data cleanup and service permissions reset operations against accounts that have been inactive and idle for a long period of time to ensure the overall operational efficiency of the service.
6. Penalties for Non-compliance and Account Handling Mechanisms
6.1 Determination of Violation
6.1.1 We have the independent, final right to determine violation behavior and can identify user violation behavior through system intelligence monitoring, human verification, user reporting, etc.
6.1.2 Any act that violates the usage standards of this provision, disrupts the order of service, or violates our legitimate rights or interests of third parties, is considered a violation, and we have the right to proceed according to law and regulations.
6.2 Tiered Action Measures
6.2.1 Mild Violations: We have the right to adopt pop-up warning, violation record retention, temporary functionality restriction, violation content cleanup, and other treatment methods to urge users to comply with compliance.
6.2.2. Moderate Violation: We have the right to adopt short-term account lockdown, playback permissions restriction, data reset, and other remedial measures to restrict users‘ access to some or all of the Services.
6.2.3. Severe violations: In response to malicious hacking, commercial infringement, illegal dissemination of content, repeated violations, etc., we reserve the right to permanently lock down accounts, clear all account data, and pursue legal liability against users.
7. Disclaimer and Ownership of Risk
7.1 Content Risk Disclaimer
7.1.1 This Software provides only the ability of video playback tools, does not produce, produce, or upload any audio or video content, and the user is solely responsible for copyright, compliance, and authenticity of any third-party video content that the user uploads, browses, or distributes.
7.1.2 All liability for copyright disputes, administrative penalties, civil damages, etc. arising from users playing pirated, copyright infringement, and illegal video content is solely borne by users, and we do not assume any collateral liability.
7.2 Service Risk Disclaimer
7.2.1 We do not take responsibility for playback failures, data loss, or experience anomalies due to personal causes such as user-specific device failures, network anomalies, system compatibility issues, mishandling, etc.
7.2.2 We do not assume any warranties or liability for security risks, infringement risks, or service anomalies arising from third-party plugins, third-party resources, external links.
7.2.3 We are exempt from liability for breach of contract due to service interruptions, functionality malfunctions, and data anomalies caused by external factors beyond our control, such as irresistible forces, cyber attacks, and third-party service failures.
8. Terms Updates, Consultation and Dispute Resolution
8.1 Terms Update Rules
8.1.1 We reserve the right to modify, update, and optimize these User Terms at any time, updating them based on scenarios including technological iterations, international compliance standards upgrades, service model adjustments, and industry standards optimizations.
8.1.2 Updates to the Terms will be made permanently public via the official pages of the Software, taking effect immediately from the date of publication, and users‘ continued use of the Software Services will be considered as voluntary acceptance of all the Terms after the Updates.
8.2 Consultation and Complaint Channels

8.2.2 Our dedicated operations team will complete checks, procedures and responses within the prescribed time frame to ensure users‘ legitimate service rights and interests.
8.3 Dispute Resolution and Legal Effectiveness
8.3.1 The parties will prioritize resolving all disputes arising from this Service and these Terms through friendly negotiations through official email, and will handle disputes according to the principles of fairness and integrity.
8.3.2 Negotiations cannot reach a consensus on disputes. The decisions are uniformly applied by the International General Business Arbitration Rules and the International Internet Services Compliance Code, and are not applicable to any country or region‘s regional exclusive laws.
8.3.3 When any content of this provision is determined to be invalid or unenforceable, it does not affect the full legal validity of the remaining provisions, and the remaining provisions remain valid and independently enforceable.
8.3.4 These Terms are the only official valid user service agreement of LaylPlayer, and any third-party interpretation or promotion of content is invalid. Everything is governed by the content of these Terms.
